How do I determine the name of the general partnership?

Changes to the law on business names for general partnership

Since July 1st 2016, the new law on business names has been in force. The amendment created a central novelty, especially for the general partnership. Prior to the revision of the law, the surname of at least one of the partners had to be included in the company name. This rule, which was considered too restrictive, was abolished with the revision. In view of the general principles for the formation of business names (Art. 950 CO), the name of the company may now be freely chosen, even in the case of a general partnership.

Fancy names for general partnership

This means that general partnerships may also use fanciful designations in their business names. Misleading business names are still not allowed. For example, the business name “ABC Bakery SNC” would not be permitted if the partnership does not actually operate a bakery, but a painting business.

Risk of confusion

It must also be ensured that the desired company name has not yet been assigned. The registration of identical companies in the commercial register is not possible. It is irrelevant whether the business name already registered is a general partnership, a corporation (Plc, Ltd) or a sole proprietorship. Similar business names can be registered, but it is advisable to choose a business name that clearly distinguishes itself from the competition. To check which business names already exist, it is recommended to consult the central index of business names (www.zefix.ch).

Finally, the company name should be supplemented by the word SNC, in french-speaking cantons or KLG in the German-speaking cantons.
