So does a member of the board of directors need to be a shareholder in the company?

No, since the small reform of the laws governing stocks and shares was put into effect on January 1st, 2008, it is no longer necessary for members of the board of a Swiss public limited company (AG) to be stockholders in said business. This change is especially welcome when it comes to administrative considerations in firms where a sole owner controls 100% of the shares. However, from a corporate governance standpoint, the change is a little more problematic for publicly traded companies.
